Terms of Service

1. Acceptance of Terms
By engaging Sylnovia ("Company", "we", "us", or "our") for software development, IT consulting, or related services, or by accessing our website, you ("Client", "User") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Scope of Services
Sylnovia provides custom software development, mobile application development, web development, UI/UX design, and IT consulting services. The specific scope of work, deliverables, and timeline for each project will be outlined in a separate Statement of Work (SOW) or Proposal agreed upon by both parties.
3. Intellectual Property Rights
Upon full payment of all fees relating to the project:
- Client Ownership: The Client shall own all right, title, and interest in and to the custom software deliverables created specifically for the Client under this agreement.
- Company Rights: Sylnovia retains ownership of its background technology, pre-existing code, libraries, framework tools, and general know-how used in creating the deliverables. We grant the Client a perpetual, non-exclusive, royalty-free license to use such background technology as part of the deliverables.
4. Client Obligations
To ensure successful project delivery, the Client agrees to:
- Provide necessary access to servers, databases, and third-party accounts required for development.
- Deliver content, assets, and feedback in a timely manner (typically within 3-5 business days of request).
- Designate a single point of contact for project communication and decision-making.
5. Payment Terms
Unless otherwise specified in the SOW:
- A deposit is required to commence work.
- Invoices are due upon receipt or within 15 days as specified.
- Late payments may incur interest charges.
- Sylnovia reserves the right to suspend services for outstanding invoices beyond 30 days.
6. Confidentiality
Both parties agree to keep confidential all proprietary information exchanged during the course of the project, including business strategies, trade secrets, and technical data. This obligation usually survives the termination of this agreement.
7. Warranties and Disclaimers
Sylnovia warrants that services will be performed in a professional and workmanlike manner. However, except as expressly stated, the software is provided "as is". We do not warrant that the software will be error-free or uninterrupted, or that it will meet the Client's specific requirements unless explicitly agreed upon.
8. Limitation of Liability
In no event shall Sylnovia be liable for any indirect, incidental, special, or consequential damages (including loss of data or profit) arising out of the use or inability to use the services. Our total liability shall not exceed the total amount paid by the Client to Sylnovia for the specific project giving rise to the claim.
9. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of Bangladesh. Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts located in Bangladesh.
